2.2 Prohibited Activities

You explicitly agree not to engage in the following prohibited activities:

• • Sharing course materials with non-enrolled individuals
• • Disrupting classes or learning activities
• • Misrepresenting your identity or enrollment status
• • Attempting to access restricted systems or data
• • Using our services for any unlawful purpose
• • Engaging in academic dishonesty or plagiarism

2.3 Accurate Information

You warrant that all information provided during enrollment and throughout your engagement with our services is accurate, current, and complete. You agree to promptly update any information that changes.

2.4 Compliance with Laws

You agree to comply with all applicable local, national, and international laws and regulations in your use of our services. This includes but is not limited to intellectual property laws, privacy regulations, and consumer protection statutes.

3.1 Service Provision "As Is"

Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that our services will meet your specific requirements or expectations, be uninterrupted, timely, secure, or error-free.

3.2 Educational Outcomes Disclaimer

While we employ experienced instructors and proven teaching methodologies, we cannot guarantee specific learning outcomes, fluency levels, or test scores. Language acquisition depends on numerous factors including:

• • Prior language learning experience
• • Natural aptitude for language acquisition
• • Consistent practice outside of class
• • Engagement with native speakers and authentic materials

3.3 Limitation of Liability

To the fullest extent permitted by law, Hanziflow, its directors, employees, instructors, and affiliates shall not be liable for:

• • Any indirect, incidental, special, consequential, or punitive damages
• • Loss of profits, revenue, data, or business opportunities
• • Damages arising from your use or inability to use our services
• • Errors or omissions in content or course materials
• • Third-party conduct or content
• • Unauthorized access to your personal information

Our total aggregate liability for any claims related to our services shall not exceed the amount you paid for the specific course or service giving rise to the claim, or ¥50,000, whichever is less.

3.4 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, labor disputes, or technical failures of third-party systems.

3.5 Indemnification

You agree to indemnify, defend, and hold harmless Hanziflow and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your violation of these terms, misuse of our services, or violation of any rights of another party.

4.1 Ownership of Content

All content provided through our website and courses, including but not limited to text, graphics, logos, images, audio clips, video clips, data compilations, and software, is the property of Hanziflow or our licensors and is protected by international copyright, trademark, and other intellectual property laws.

4.2 License to Use Materials

Upon enrollment, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• • Access and view course materials for personal learning purposes only
• • Download materials explicitly made available for download
• • Make personal notes based on course content

This license terminates immediately upon course completion, account termination, or violation of these terms.

4.3 Prohibited Uses of Content

You may not:

• • Reproduce, distribute, or publicly display our content
• • Modify, adapt, or create derivative works
• • Sell, rent, lease, or sublicense our materials
• • Remove copyright or proprietary notices
• • Use our content for commercial purposes
• • Upload our content to file-sharing platforms

5.1 Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. Your use of our services may also be subject to other local, state, national, or international laws.

5.2 Jurisdiction

You agree that any legal action or proceeding arising out of or relating to these terms or your use of our services shall be instituted exclusively in the courts located in Tokyo, Japan. You consent to the personal jurisdiction of such courts and waive any objection to venue.

5.3 Informal Resolution

Before initiating any formal legal proceedings, you agree to first contact us and attempt to resolve the dispute informally. Many concerns can be addressed through open communication, and we're committed to finding mutually satisfactory solutions.

5.4 Class Action Waiver

To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

6.1 Right to Modify

We reserve the right to modify, amend, or update these Terms and Conditions at any time at our sole discretion. Changes will be effective immediately upon posting to our website unless otherwise stated.

6.2 Notification of Changes

For material changes that significantly affect your rights or obligations, we will make reasonable efforts to notify you by email (if we have your email address) or by posting a prominent notice on our website. However, it is your responsibility to regularly review these terms.

No waiver of any provision of these terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to assert any right or provision under these terms shall not constitute a waiver of such right or provision.

7.4 Assignment

You may not assign, transfer, or sublicense any of your rights or obligations under these terms without our prior written consent. We may freely assign or transfer our rights and obligations under these terms without restriction.

7.5 Survival

Provisions of these terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, warranty disclaimers, indemnification, and limitations of liability.

The section headings in these terms are for convenience only and have no legal or contractual effect.

7.7 Language

These Terms and Conditions may be translated into other languages for your convenience. In the event of any conflict or inconsistency between the English version and any translation, the English version shall prevail.
